What CenterPoint is

CenterPoint Marketplace is a platform on which restaurants order from suppliers. The contract of sale for goods is between the buyer and the supplier. CenterPoint is not the seller and does not take title to goods.

CenterPoint POS is software licensed to a venue for use on its own devices.

Accounts

You are responsible for what happens under your account and for keeping access to it secure. Suppliers must be vetted by CenterPoint before appearing to buyers, and must keep their registration and licence details current.

Orders, cutoffs and changes

• Each supplier sets their own lead days and cutoff time. The rule in force when an order is placed is frozen onto that order.
• An order may be edited until it closes. Cancelling is a two-sided request.
• A supplier may mark a line unavailable and offer a later date for that line alone.
• Only lines delivered and explicitly confirmed by the buyer are billed. Unpriced lines are skipped rather than billed at zero.

Fees and payment

A platform fee of 0.5% is calculated on the buyer's subtotal and added on top of it. The supplier's payout is the subtotal in full, at their list price, and it is released when the buyer's payment confirms.

Invoices are issued in the first days of the following month, once that month's confirmed deliveries have settled, and are due 30 days after month end.

Your responsibilities

• Suppliers are responsible for the quality, safety, description and lawful sale of what they list, and for holding the licences that Hong Kong law requires.
• Buyers are responsible for checking in deliveries honestly and on time.
• Neither party may use the platform to route around it, harass the other, or misrepresent what was agreed.

Availability

We aim to keep the platform running and will tell you plainly when something is broken or not yet built. The service is provided as it stands, without a warranty that it will be uninterrupted or error-free.

Liability

Nothing here limits liability that cannot lawfully be limited. Otherwise, our liability to you is limited to the platform fees you paid us in the three months before the claim, and we are not liable for indirect or consequential loss.

Ending it

You may stop using the platform at any time. We may suspend or close an account that breaches these terms or that we are required to act on. Obligations already incurred — deliveries confirmed, invoices due — survive.

Governing law

These terms are governed by the laws of the Hong Kong Special Administrative Region, and the Hong Kong courts have exclusive jurisdiction.
